Ten Thousand Me LLC – Platform Competition Rules

OFFICIAL RULES

Ten Thousand User Generated Content (UGC) Competition (“Competition”)

Initial submissions into the Ten Thousand Competition will be accepted from 12:00 a.m. (PST) on May 1, 2024, and will continue until Ten Thousand Me LLC posts notification of the competition ending. The “Competition Period” shall commence at 12:00 a.m. (PST) July 1, 2024 and will continue until Ten Thousand Me LLC posts notification of the competition period ending.

 

Your participation is subject to (i) Ten Thousand’s Terms of Service; (ii) Ten Thousand’s Privacy Policy; (iii) Ten Thousand’s Community Guidelines; and (iv) any other terms, conditions, and/or rules published or made available by Ten Thousand, as such terms may be amended from time to time (the “Platform Documents”). 

 

You further acknowledge and agree that all content provided by you in connection with this Competition (“Content”) is “User Content” as such term is defined in terms of Service. 

 

To the extent there is any conflict or inconsistency between the provisions of these Participation Terms and the provisions of the Platform Documents, the provisions of these Participation Terms shall control.

 

  1. ELIGIBILITY: Competition is open to any athletes, and/or sports content creators, who are at least 18 years of age, or 13+ years of age with parental or guardian approval. For the avoidance of doubt, eligible individuals can enter as individuals, duos, or groups (“Contestants”). 

 

If Contestants are entering as a duo or group, the individual who uploaded the content to the Ten Thousand platform, and entered the content into the Competition will be deemed the authorized representative of the duo or group. 

 

Employees of Ten Thousand Me LLC. (“Ten Thousand” or “Sponsor”), its parent, subsidiaries, affiliates, promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. 

 

Competition is subject to all applicable federal, state, and local laws. 

 

By participating, each Contestant agrees to abide by these Participation Terms and the Platform Documents and decisions of the Sponsor, which shall be final and binding in all respects relating to this Competition. 

 

  1. COMPETITION: The Competition is comprised of a (“Monthly Prize”) as well as a 12 month (“Annual Prize”):

 

  1. Competition Activation (‘Competition Activation”): Once Ten Thousand Me LLC receives a minimum of 1,000 entries in a category each month, the competition for that category goes live. The monthly prize money is then available to be won. If the threshold of 1,000 entries is not met, all entries will automatically be placed into the following month until the threshold is reached and the competition category goes live.

      

     

  2. The recurring (‘Monthly Prize”) will accept entries on the Ten Thousand Platform beginning at 12:00 a.m. (PST) August 1, 2024, One (1) winner will be selected in each sporting category (“The Categories”) and will be announced on the Ten Thousand platform at the end of the (calendar) month if the competition is activated; and
      

     

  3. The Monthly Prize will start again at 12:00am on the 1st day of the next month, and will be drawn by Ten Thousand at the end of the (calendar) month, unless the competition has not been activated in which case entries will automatically be entered in this month; This will repeat until Ten Thousand Me LLC terminates the competition.
      

     

  4. Each winner of the Monthly Prize over the 12 month period, beginning at 12:00 a.m. (PST) August 1, 2024 will be eligible for the Annual Prize.
      

     

  5. One (1) winner will be selected from the 120 Monthly Prize winners and will be announced on the Ten Thousand platform at the end of the 12 month period; and
      

     

  6. The Annual Prize will repeat every 12 months until Ten Thousand Me LLC terminates the competition. 

 

  1. HOW TO SUBMIT: 

(1) During the Competition Period, to make a submission, download the Ten Thousand App from The Apple App Store, or from The Google Play Store and set up and account, and post a video on the Ten Thousand App of the content you wish to enter into The Competition; you must select the ‘Enter Competition’ button when uploading your content to be eligible for The Competition. 

  

(2) Submissions generated by script, macro, or other automated means or by any means which subvert the submission process are void. There is no limit on the number of Submissions a Contestant can make; however, each Submission must be substantially different than any other Submission made by the same Contestant, as determined by Sponsor, in its sole discretion. If you do not have a Ten Thousand account, establishing an account is free. All Ten Thousand terms apply. 

 

Your Ten Thousand account must be set to “public” in order for your submission to be eligible. All Submissions become available for use in any format or domain by the Sponsor at no charge to the Sponsor, and free usage rights to the Sponsor will last in perpetuity. The content will remain the sole property of the Contestant. 

  

(4) VIDEO REQUIREMENTS FOR ALL SUBMISSIONS: Submission should be appropriate for an audience of 13 or older. Submission must be the original work of the Contestant, may not have won previous awards, and must not infringe upon the copyrights, trademarks, rights of privacy, publicity, or other intellectual property or other rights of any person or entity. 

 

Each Submission may not contain, as determined by the Sponsor, in its sole discretion, any content that:

 

  1. is sexually explicit or suggestive; unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional or age group; profane or pornographic; contains nudity;

 

  1. promotes alcohol, illegal drugs, tobacco, firearms/weapons (or the use of any of the foregoing); promotes any activities that may appear unsafe or dangerous; promotes any particular political agenda or message;  

 

  1. is obscene or offensive; 

 

  1. endorses any form of hate or hate group; 

 

  1. appears to duplicate any other submitted Submissions;  

 

  1. defames, misrepresents, or contains disparaging remarks about the Sponsor or its products or services, or other people, products, or companies;

 

  1. contains trademarks, logos, or trade dress (such as distinctive packaging or building exteriors/interiors) owned by others, without permission, to the extent permission is necessary; 

 

  1. contains any personal identification, such as license plate numbers, e-mail addresses, or street addresses;

 

  1. contains copyrighted materials owned by others (including photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies or other media), without permission, to the extent permission is necessary;

 

  1. contains materials embodying the names, likenesses, voices, or other indicia identifying any person, including, without limitation, celebrities and/or other public or private figures, living or dead, without permission; 

 

  1. contains look-alikes of celebrities or other public or private figures, living or dead;

 

  1. communicates messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and/or

 

  1. violates any law and the Platform Documents.

Sponsor may disqualify any submission for any reason, including if it determines, that any Submission fails to conform to these Participation Terms in any way or otherwise contains unacceptable content as determined by Sponsor, in its sole discretion. Sponsor reserves the right to allow for minor deviations between Submissions and these Participation Terms, if, in its sole discretion, it determines Contestant was keeping with the intention of these Participation Terms.

 

  1. PUBLICITY GRANT AND LICENSE/USE OF SUBMISSIONS: In addition to, and without limiting, the rights and licenses granted to Ten Thousand in the Terms of Service, Contestant hereby grants to Ten Thousand and its affiliates, successors, licensees and assigns, all necessary rights and licenses to the Content, including, without limitation, an unconditional, perpetual, worldwide, non-exclusive, irrevocable, fully paid, royalty-free and fully transferable license to (a) store, access, cache, reproduce, process, adapt, edit, create derivative works from, host, stream, transmit, communicate, make available, distribute, publicly perform, publicly display, and otherwise exploit the Content in any form or medium, whether now known or later developed, and make, use (including, without limitation, in and in connection with paid media and sponsor integrations and/or placements), transfer, import, and exercise any and all such rights in and to the Content, (b) in Ten Thousand’s sole discretion, use and make any reproductions and/or recordings of the Content (or any elements thereof) or any other assets or content provided by Contestant to Ten Thousand’s, necessary or desirable to distribute, facilitate, market and/or promote (for paid advertising, sponsorships, or otherwise) the Content on the Platform or on Ten Thousand’s official social media accounts (e.g., Twitter, Instagram, Facebook, YouTube, TikTok), and (c) reference Contestant’s name and participation in the Competition in blog posts, press releases, and other media. Contestant also agrees that such license to Ten Thousand extends to Ten Thousand’s use of Contestant’s name, voice, image, likeness, and biographical information, including, without limitation, use in and in connection with the Content, the advertising, publicity, promotion, and exploitation of the Content, the Program and/or the Platform, and in paid media. Ten Thousand, in its discretion (based on its good faith assessment of potential music, intellectual property and other rights issues), may “geo block” certain countries so that the Content is not viewable in those countries, and Ten Thousand makes no representation or warranty as to the availability of the Content in a particular country. Released Parties are not responsible for any unauthorized use of submissions by third parties. Sponsor has no obligation to make use of the rights granted herein. 

 

  1. SCORES: Scores do not carry forward from one round of the Monthly Prize to any other month of the Competition. Scores do carry forward for the Annual Prize.

 

  1. General Restrictions: Contestants are prohibited from obtaining likes, follows, coins and votes by any fraudulent or inappropriate means, including, without limitation, paying for, trading, or offering prizes or other inducements to users, as determined by Sponsor in its sole discretion; all such likes will be not be used to tabulate scores and such Contestant may be disqualified, at Sponsor’s discretion.

 

  1. Sponsor Votes: Sponsor retains the right to cast a winning vote to ensure fairness in the monthly competition if a contestant has used fraudulent or inappropriate means in order to win.

 

  1. MONTHLY COMPETITION 

(1) Winner’s Determination: At the conclusion of the Submission Period, the total amount of “points” will be tabulated for all eligible Submissions to determine the top submissions with the highest points.  

 

Voting. During the Competition Period, viewers will be able to vote for each Contestant, and all votes will be calculated into each Contestant’s total score.  Scores will be tabulated as follows:

  

(1) Votes. Each vote made shall equal 10 points.

  

(2) Ten Thousand Coins. Each Ten Thousand Coin received by the Contestant during the Competition Period shall equal 20 points.

 

(3) Likes. Each like shall equal 1 point.

 

(4) New Followers.  Each new follower the Contestant gains during the Competition Period shall equal 1 point.

 

 

  1. The Monthly Competition Winners. Winners will be determined by the number of points accumulated. Sponsor Vote will be given entirely at the Sponsor’s discretion and only when deemed necessary by the sponsor.

 

(1) In addition to tallying the Score, Sponsor shall vet all potential Winner’s (and their Submissions) for compliance with these Participation Terms. This vetting process, along with the Score, shall be factors used by Sponsor to determine the final Winners. Decisions of the Sponsor are final and binding. The Score will be determined on all content the Contestant has submitted during the Competition Period.

     

  1. The Monthly Winner with the highest total points in each Sporting Category will be deemed the Monthly Competition Winner. 

 

(1) Monthly Winner Notification. Winners will be notified by email on or around the last day of the month. As well as being published on the Ten Thousand Official Account on the Ten Thousand Platform. 

 

A Contestant is not a winner even if the points should so indicate unless and until Sponsor has verified the Contestant through an official state or country identification document, and their point total and officially announced such Contestant as a winner.

 

  1. ANNUAL COMPETITION 

(1) Winner’s Determination: At the conclusion of the Annual Period, the winner will be selected by the Sponsor.  

 

(2) Annual Winner Notification. The Winner will be notified by email on or around the last day of the Annual 12 Month Competition Period. As well as being published on the Ten Thousand Official Account on the Ten Thousand Platform. 

 

A Contestant is not a winner until Sponsor has verified the Contestant through an official state or country identification document, and officially announced such Contestant as a winner.

 

  1. PRIZES: 

 

(1) There will be a total of 10 (ten) Monthly First Place prizes available for each of the 10 Sporting Categories, every Monthly Competition Period. 

 

(2) Monthly First Place: Monthly First Place prizes: Are awarded ten thousand U.S. dollars (USD10,000.00), to be taken in a cash payment made by Electronic Funds Transfer, or the equivalent of Equity in the Ten Thousand Me LLC entity.

 

(3) There will be a total of 1 (one) Annual First Place prizes available for the Annual Monthly Competition Period. 

  

(4) Annual First Place: Annual First Place prize:. Is awarded one million U.S. dollars (USD1,000,000.00), to be taken in a cash payment made by Electronic Funds Transfer, or the equivalent of Equity in the Ten Thousand Me LLC entity.

 

  1. GENERAL CONDITIONS:  By participating, each Contestant agrees to release, discharge, and hold harmless the Sponsor, its parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents, and representatives of the foregoing (collectively, “Released Parties”) from any and all injuries, liability, losses, and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Contestant’s participation in the Competition or any Competition-related activity or the acceptance, possession, use or misuse of any awarded prize. 

Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Submissions, comments, votes, likes, shares, coins, messages, email, mail or other communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Competition, including, without limitation, errors or difficulties which may occur in connection with the administration of the Competition, the processing of Submissions, the announcement of the winners, the tabulation of scores, the functionality of the Ten Thousand platform, or in any Competition-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by platform users, tampering, hacking, or by any equipment or programming associated with or utilized in the Competition. Released Parties are not responsible for injury or damage to any person’s computer or other device related to or resulting from participating in this Competition or downloading materials from or use of the platform. Persons who tamper with or abuse any aspect of the Competition or platform, who act in an unsportsmanlike or disruptive manner, or who are in violation of these Participation Terms, as solely determined by the Sponsor, will be disqualified. Should any portion of the Competition be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention, or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness, or proper play, or submission of Submissions, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Competition and, if terminated, at its discretion, proceed with the Competition as otherwise deemed fair and appropriate by Sponsor. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE COMPETITION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
